1. What FilingEye is
FilingEye is a research tool for reading public company filings from the SEC's EDGAR system. It computes financial figures from a filing's XBRL data, produces AI summaries and assessments of a filing's text, and can tell you when a company you follow files something new. It is offered as a website and as a Chrome extension that works on sec.gov.
These terms are between you and [LEGAL ENTITY NAME].
2. Eligibility and your account
You must be at least 18 and able to enter a binding contract. Every tier, including the free one, requires an account.
You are responsible for what happens under your account and for keeping your sign-in secure. Accounts are for one person — do not share credentials. Tell us promptly if you think your account has been used without your permission.
3. Not investment advice
FilingEye does not give investment advice. Nothing in the product is a recommendation to buy, sell or hold any security. We are not a registered investment adviser, broker-dealer, or financial planner, and no part of the service should be treated as a personalized recommendation.
Every decision you make with information from FilingEye is yours. Consider getting advice from a licensed professional before acting.
4. Where the data comes from
Filings come from EDGAR. Computed figures are derived from the XBRL data a company itself tagged. Share price context comes from a third-party market data provider.
We do not guarantee that any of it is complete, current or free from error. Companies tag their XBRL inconsistently, restate figures, and sometimes file corrections. EDGAR itself can be unavailable or slow. Check anything material against the original filing before you rely on it — every figure in the product links to its source precisely so that you can.
5. AI-generated answers
Summaries, sentiment scores, key findings, materiality ratings and chat answers are produced by an AI model and are labeled as such in the interface. They can be wrong, incomplete, or miss something that matters.
The model is constrained to the filing in front of it. It is designed to decline rather than guess when a filing does not answer a question, and a claim whose supporting quote cannot be located in the document is downgraded in the interface. Those are safeguards, not guarantees.
Figures are a separate matter: financial ratios and forensic scores are computed by a fixed engine, not generated by a model. That makes them deterministic. It does not make them correct if the underlying filing data is wrong.
6. Plans and what counts against them
Each paid plan includes a monthly filing allowance and a monthly chat allowance. Five rules govern how they are counted, and all five are enforced on our servers rather than in your browser.
- One chat pool, not two. Your monthly message allowance is shared between the website and the extension. A question asked in either draws on the same counter.
- A filing counts once per period. However you reach it — an alert, the website, or the extension — analyzing the same filing within one billing period draws on your allowance once.
- Alert analyses count. If you set a company to analyze-and-email, each filing it analyzes draws on your monthly filing allowance. Companies set to notify-only cost nothing.
- Following is unlimited; analysis is metered. You can follow as many companies as you like. What is limited is how many of their filings get analyzed.
- Allowances reset on your subscription anniversary, in UTC — not on the first of the calendar month.
When a filing allowance is exhausted, alerts continue to arrive as plain notifications rather than stopping. We may apply reasonable limits to prevent automated or abusive use, and we will tell you if we do.
7. Billing, renewal and refunds
Paid plans are billed in advance, monthly or annually, through our payment processor. Subscriptions renew automatically at the end of each period until you cancel.
You can cancel at any time from your account. Cancellation stops the next renewal; you keep access until the end of the period you have already paid for. We do not prorate partial periods.
[REFUND POLICY — e.g. "We refund in full within 14 days of a first purchase if you have analyzed fewer than N filings."] Outside that, charges are non-refundable except where the law requires otherwise.
If prices change, existing subscribers will be told by email at least 30 days before it affects them, and the change takes effect at the next renewal.
8. Acceptable use
FilingEye is for your own research, or your organization's internal research. You may not:
- Resell, redistribute or publish the analyses as a product or feed of your own.
- Scrape or bulk-extract the service, or use it through automation other than the interfaces we provide.
- Share one account among several people, or resell access to it.
- Try to reach another user's data, or to circumvent allowances, authentication or rate limits.
- Use the service to build a competing product.
- Use it for anything unlawful, including market manipulation or trading on material non-public information.
Quoting a figure or passage in your own work, with attribution, is fine. Republishing the analysis wholesale is not.
9. Your content
Your questions, watchlist and settings remain yours. You give us only the permission we need to operate the service for you: to store that content, process it, and display it back to you.
We do not use your content to train models, and we do not show it to other users.
10. Our intellectual property
The software, the ratio and forensic engines, the interface, the name FilingEye, the Optik assistant and the FilingEye mark belong to us or to our licensors. You get a limited, personal, non-transferable license to use the service while your account is in good standing.
The underlying SEC filings are public documents and belong to nobody. Our computation, presentation and analysis of them are ours.
11. Third-party services
FilingEye depends on services we do not control, including the SEC's EDGAR system, our AI provider, our payment processor and our hosting providers. We are not responsible for their availability, accuracy or conduct. Card details are handled by the payment processor and never reach us.
12. Changes and availability
We will keep developing the product, which means features may change or be retired. The service can be interrupted for maintenance, or by a failure upstream. We do not promise uninterrupted availability.
If we materially reduce a feature you are paying for, we will give you notice and a prorated refund for the remainder of your paid period if you choose to leave.
13. Termination
You can close your account at any time. We may suspend or close an account for breach of these terms, for non-payment, or where we are required to by law — and other than in clear cases of abuse, we will tell you why and give you a chance to put it right.
After termination your data is deleted as described in the privacy policy. Export anything you want to keep before you close your account.
14. No warranties
The service is provided as is and as available. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any analysis will be accurate or complete. Some jurisdictions do not allow these exclusions, in which case they apply to you only as far as the law permits.
15. Limitation of liability
To the fullest extent the law allows, we are not liable for any investment loss, lost profits, lost data, or indirect, incidental, special or consequential damages arising from your use of the service or your reliance on anything in it.
Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
16. Governing law
These terms are governed by the laws of [STATE / COUNTRY], without regard to its conflict of law rules. Disputes will be brought in the courts of [JURISDICTION], and you and we both consent to that jurisdiction.
17. Changes to these terms
We may update these terms as the product develops. For material changes we will email account holders at least 30 days beforehand. Continuing to use the service after a change takes effect means you accept the updated terms; if you do not, you can cancel.
